Job Description:


Join a top-flight legal team of a publicly traded technology company and structure, draft and negotiate commercial agreements with sophisticated customers (including customers in the public sector in various LATAM jurisdictions and in highly regulated industries).

These agreements primarily cover MicroStrategy software, cloud, services, and other offerings but also include vendor transactions.

This position will focus on supporting MicroStrategy's business transactions in Argentina, Brazil and other LATAM jurisdictions and will also work with other team members and other departments and executives to develop proposals, policies, and processes for executing our strategic commercial and risk management objectives.


The position will be based either in
Buenos Aires, Argentina, or in
São Paulo, Brazil, and will report to a Director & Associate General Counsel located at our worldwide HQ in Tysons Corner, VA.

Some travel is anticipated.


Your Focus:


  • Independently draft, review, and negotiate complex technologyrelated agreements and other documents in a clear and concise manner, requiring support from other attorneys only for the more novel and complex matters. Examples include agreements relating to software licensing, cloud subscriptions, professional services, OEM/ASP, resellers, and other commercial models, and business associate/data protection agreements.
  • Lead negotiations with customers and vendors, differentiating true requirements from negotiating tactics and competing interests.
  • Promote, balance, and manage company and customer/vendor interests using a high degree of ingenuity to solve complex, contentious issues addressing business risks and compliance matters. Think innovatively to develop creative legal options and solutions, creatively solve even the most difficult customer issues, and exceed customer expectations.
  • Develop legal templates, forms, policies, and information guides.
  • Independently and effectively lead internal projects and process improvement initiatives of broad scope, and creation of policies and procedures aimed at mitigating risk appropriately yet promoting efficiency in deal formation, negotiation, and execution to drive revenue growth.
  • Partner on a daytoday basis with the sales organization and other departments, including Revenue Recognition, to support transactions, ensure compliant contracting practices and help integrate legal considerations with business and technology activities.
  • Assist in developing transactionsupport processes and procedures for scaling legal and business processes.
  • Train, guide and assist the sales and services teams in properly structuring and negotiating transactions from a legal perspective, including with partners and government end users.
  • Act as a compliance champion, including by developing, implementing, and promoting the company's compliance objectives, conducting trainings, and overseeing compliance with MicroStrategy's Code of Conduct and other policies.
  • Assume representation in key roles on behalf of the Company.
  • Manage outside counsel support in an efficient and costeffective manner including in disputerelated matters.
  • Deliver confident and articulate presentations to senior executive management that influence thinking and drive effective decisionmaking.
  • Communicate with peers persuasively to gain cooperation for projects and initiatives within LEG.
  • Assist with general corporate legal matters, including employment, litigation, and corporate governance.

Essential skills:


You should also bring the following:

  • Argentinian and Brazilian qualified attorney with a degree from a leading law school with 8+ years' combined experience at a reputable law firm and in-house legal department at a large multi-national corporation; applicable bar credentials.
  • Verbal and written fluency in Spanish, Portuguese, and English (at the level to draft and negotiate legal documents).
  • Extensive experience with, and enthusiasm for, drafting and negotiating highly complex commercial contracts; software licensing experience.
  • Extensive experience with LATAM software licensing and services transactions, including distribution structures, public procurement, competition, and government contract law. Indepth experience with public sector transactions in both Brazil and Argentina.
  • Strong complianceoriented background, including familiarity with the United States Foreign Corrupt Practices Act, Argentina's Corporate Criminal Liability Act (Law No and Brazil's Clean Company Act 2014 (Law No. 12,846).
  • Exceptional attention to detail; superb organizational skills, verbal and written communication abilities, and internal and external negotiation skills.
  • Superior communication and interpersonal skills and judgment, as well as experience working directly with executivelevel leaders.
